Il presente documento riporta i Termini e le Condizioni Generali sulla base dei quali i:

1.Creator Venditori, soggetti diversi dal Fornitore del Servizio di Intermediazione on Line, propongono agli Utenti promozione dei propri progetti i prodotti disponibili sulla Piattaforma eiDesign;

2. Creator, soggetti diversi dal Fornitore del Servizio di Intermediazione on Line, propongono agli Utenti promozione dei propri progetti sulla Piattaforma eiDesign;

 

PREFACE to ANNEXES

All content on the Platform is the property of the Service Provider.

The contents present on the Creators' personal pages are the property of the Creators, who grant the Service Provider, free of charge, the non-exclusive right to process the contents for the purpose of operation and maintenance of the Platform.

Creators may not use the content of the Platform except to the extent that it is explicitly necessary or implied for the proper use of the Brokerage Service.

Users may not use the content of the Platform except to the extent that it is explicitly necessary or implicit for the navigation and/or proper use of the Brokerage Service.

DEFINITIONS
To enable full understanding and acceptance of these terms and conditions, the following terms shall have the meanings set forth below:

The Platform, the SiteThe online brokerage service, called eiDesign, which allows to put in contact Users interested in the products offered for sale by the Creator-Sellers; small enterprise according to the Annex of the Recommendation 2003/361/EC.

The Service Provider: the Holder of the On-Line Brokerage Service is, for eiDesignNelly Dominguez De Juan, residing at Via Certosa 1, 27010 San Genesio ed Uniti (PV), Tax Code DMNNLY74A69Z131B, VAT No. 02525290181, e-mail info@ei-design.org, PEC nellydominguezdejuan@pec.itsmall enterprise within the meaning of the Annex to Recommendation 2003/361/EC.

Creator Vendor (Vendor, Third Party Vendor, Commercial User in Reg.UE 2019/1150) : the natural or legal person who, acting in the exercise of their own commercial, artisanal or professional activity, sells Products via the Platform, whose identification details are indicated on the relevant Product pages; they gain this status by subscribing to Basic and Pro subscriptions; the identity of the Creator-Seller must be clearly visible on the Platform

Creatorthe person who acts as specified in the previous point, but limits their activity within the Platform to the promotion of their projects through publication and videos on their personal page; they access this status by subscribing to the Free subscription. the identity of the Creator must be clearly visible on the Platform.

Userany person who accesses and "navigates" the Platform;

Registered Userthe subject who interacts with the services eiDesign by virtue of their registration with the Platform;

User Consumerthe natural person of age who concludes a contract for purposes unrelated to his business, commercial, craft or professional activity;

Non-Consumer Userthe natural person of age or legal entity that concludes a contract for the performance or requirements of its business, commercial, craft or professional activity;

Terms and conditions of useThe present contract governing the contractual relationship between the Supplier of the Intermediation Service and the Creator and Creator Seller.

Durable support Any instrument that allows the Third Party Supplier to store the information personally addressed to him in such a way as to be able to access it in the future and for a period of time adequate to the purposes for which it is intended, and that allows the identical reproduction of the stored information; any communication coming from both the Service Provider and the Seller-Creator must be made by means of a durable medium.

2. SCOPE OF APPLICATION of the TERMS and CONDITIONS for CREATORS

The Service Provider is not a party to the contractual and/or pre-contractual relationship established exclusively between Users and Creators and does not have, in its exclusive capacity as mere Provider of the Intermediation Service, any liability deriving from said relationships established between said subjects.

Therefore, any contract entered into between Sellers and Users is not subject to these Terms and Conditions.
The present Terms and Conditions govern the contractual relationship between the Provider of the Intermediation Service and Creator according to the wording accepted by the latter at the moment of registration.

The Service Provider and the Creators mutually undertake to conduct their contractual relations according to fairness and good faith.

3. USER and/or CREATOR REGISTRATION TO THE SITE;

To interact with the services of eiDesign The User must register by providing all the data and information requested in a complete and truthful manner and thereby obtaining a personal account.
It is the responsibility of the Users to keep their login credentials secure and confidential; to this end, Users should choose a password that meets the highest level of security available on this Web Site. By creating an account, the User agrees to be fully responsible for any and all activities that occur under their access credentials. Users are obliged to inform the Service Provider without delay via the contact details provided on the Platform if they believe that their personal information, such as User account, access credentials or personal data, has been hacked, unlawfully disclosed or stolen.

The User registers on the Site eiDesign using the appropriate form that appears on the screen, indicating, on the right side, in the first space the email address and in the second space a password of your choice, to be kept confidential. At the bottom of the spaces, the User will find a link with the General Terms and Conditions, which he must read carefully; once he has accepted these Terms and Conditions by ticking the appropriate box, the User will press the "register" button. Then, at the email address just sent, an email communication will be sent containing a "link" which, once selected, will reopen the initial form; at this point, the User will enter his email and password again, this time on the left side of the form, in the two spaces provided for this purpose; by selecting the appropriate button, the User will access his Account, identified by the email and accompanied by the password.

4. SUBSCRIPTION

The User already registered who wants to become Creator or Creator Vendor (or Third Party Supplier, Creator, Commercial User in Reg.UE 2019/1150) will be able to select through the control panel of his account the button "become a Creator" thus opening the page dedicated to subscriptions.

(If the user has not yet registered, he/she can also register directly on Join Us, Subscriptions, Sign Up).

The User must follow the registration procedure for the chosen subscription by filling in all the data requested in the relative Format, follow the various steps, accept these Terms and Conditions by checking the appropriate box. At this point the User will click on the CONFIRM button and will receive an email confirming the successful completion of the payment and subscription by eiDesign.

eiDesign offers 3 types of subscriptions, as summarized in the Platform Menu under JOIN US, SUBSCRIPTIONS, all with a duration of one year after registration which will renew annually subject to the ability of the Seller-Creator to disable automatic payment by the annual expiration date, and described in detail below:

1. A) FREE; free;
2. B) BASIC; al costo di 83,88 € (con esenzione IVA), da pagare al momento della iscrizione tramite PAYPAL;
3. C) PRO: al costo di 167,88 € (con esenzione IVA), da pagare al momento della iscrizione tramite PAYPAL;

At the time of actual payment, the Supplier of the Service will issue a regular receipted invoice to the Creator-Seller, sending it to the e-mail address communicated by the latter during registration.

1. A) FREE: The Free subscription allows the User of the Website, through their account, to access the Platform without being able to use the Platform's Marketplace Service; The User may access the Network of eiDesign through a personal page, promote 1 project and 1 video.
2. B) BASIC: the Basic subscription allows the Creator-Seller, through his account, to access the Network of eiDesign through a personal page, directly promote 3 projects and 3 videos, have 1 post promoted on social media channels eiDesignpromote the launch of a project through the Streaming channel eiDesign and use the Platform's Marketplace Service with the possibility of selling a maximum of 3 products, approved by eiDesign.
3. C) PRO: the Pro subscription allows the Creator-Seller, through his account, to access the Network of eiDesign through a personal page, promote unlimited projects and unlimited videos, have 2 posts promoted on Social Media channels eiDesignpromote the launch of a project through the Streaming channel eiDesignpublish on the social media channels of eiDesign a personal interview and an article dedicated to the Creator on Digital Magazine eiDesign and take advantage of the Platform's Marketplace Service with the possibility of selling an unlimited number of products, approved by eiDesign.

Once the type of subscription has been chosen, the button called "SIGN UP" will be selected, which will allow the opening of a registration form to be completed in all its spaces specifically dedicated to the corresponding item. At this point the User, before confirming the activation of the chosen subscription by selecting the "confirm" button, will take care to read carefully these Terms and Conditions after which, by agreeing, he will check the box "I accept the Terms and Conditions" for the Creator Seller. At this point the User who has chosen the BASIC subscription or the PRO becomes Creator Seller ( Seller or Third Party Supplier, Commercial User in Reg.UE 2019/1150).

In the operations described above, the Creator will have to indicate the information requested in a complete and truthful manner, assuming all responsibility under the Law in case of misrepresentation.

It is the responsibility of Creators to keep their login credentials secure and preserve their confidentiality. To this end, Users must choose a password that matches the highest level of security available on this Web Site.

By creating an account, the Creator agrees to be fully responsible for any and all activities performed with his/her access credentials. The Creator is obliged to inform the Service Provider immediately and unequivocally through the contact details indicated in this document if they believe that their personal information, such as User account, access credentials or personal data, has been violated, illicitly disseminated or stolen.

5.ACCEPTANCE OF REGISTRATIONS BY THE PLATFORM

The Platform reserves the right to approve or disapprove a Creator's request for a subscription in order to provide a level of content on the Platform in line with the quality standard.

In case of non-acceptance by the Platform of the subscription subscription (Basic or Pro) by a Creator Seller, eiDesign will refund the Creator of the entire amount paid by the same through Paypal to the same account of origin, within 3 days of non-acceptance.

In case of acceptance by the Platform of the subscription subscription (Basic or Pro) by a Creator-Seller, the latter may withdraw from the contract at any time and without any reason by sending an email to the Service Provider without, however, being able to claim reimbursement by eiDesign of the entire amount paid by the same through Paypal for the registration.

6. CONTENT RESPONSIBILITY

The Creator, whose identity must be clearly visible on the Platform, is exclusively responsible for the content uploaded, published, shared or in any case supplied to eiDesign. The Creator expressly declares that he/she assumes said responsibility and that he/she will keep the Service Provider indemnified from and against any claim made and/or damage suffered due to content provided or offered by the Creator through the Platform.

The Creator, however, accepts that the Service Provider checks in advance and at its absolute discretion such contents and gives approval to the publication, it being understood that the Creator is fully responsible for any legal liability in civil/criminal/administrative law for what comes from the Creator.

The Service Provider, in any case and at any time, reserves the right to remove, delete, block or rectify content at its absolute discretion.

The Service Provider may deny access to the Platform to the Creator who uploaded without prior notice:

• if the content of what is published does not conform to the spirit of the Platform, informed by the Principles of education, common sense of decency, decorum, respect for every Person, People, Nation, State, Religion, Sex, Race, Language, Culture, Tradition and Custom.
• whether it has received a complaint and/or a report in relation to such content;
• if you have received a notice of infringement of intellectual property rights;
• by order of any institutional authority;
• if such content may pose a risk and/or danger to Users, Creators or any Third Party or to the Platform itself.

The removal, deletion, blocking, rectification of the contents nor the foreclosure of the Creator's access shall not constitute any alleged breach, or exception of breach, claim for compensation, reimbursement or indemnity in favor of the Creators responsible for such contents.

The Provider will report any censurable activity carried out through the Platform to the Competent Authorities whenever the Creator engages in violations of law, regulations, orders, discipline

7. SELLER'S MODE of OFFER through the PLATFORM

The Platform allows the use of the Intermediation Service only for Creators-Sellers who have reached the age of majority (18 years old); for minors, registration and subscription to one of the provided subscriptions must be authorised by their parents or by the persons exercising responsibility for them.

All of the Products offered for sale through the Platform must be described in detail on the pages dedicated to them with an indication of their photographic images, quality, characteristics, availability, price including VAT (or similar national tax) if due, delivery times and costs, and additional charges; the Products may not consist of goods whose sale is illegal, contrary to public order or morality.

If a product is subject to possible customs taxes, the Seller Creator will have to specify it in the product sheet; customs expenses will be charged to the Buyer User.

The Creator-Seller will have to update his control panel with all information about the current status of the order (pending, in process, waiting, completed, refunded)

The Seller Creator must inform the Consumer or non-Consumer User if the images of the Products on offer are only representative of the type of product offered or if it is the image of the real product on sale.

The offer of Products through the Platform constitutes an offer to the public which, once accepted by the User, will result in the completion of the sale contract.

The User purchases the Product through the following steps:

select the Product; view the Terms and Conditions of the Creator Seller (Shipping & returns plus additional guarantees) add the Product to the shopping cart; click on the button "PROCEED WITH THE ORDER"; fill in the "BILLING AND SHIPPING DETAILS"If the user requires special delivery requirements or wants to add some communication to the order, he can do so at the end of the form, in the appropriate box "Order notes"; click on the button "continue on PAYPAL"and through this money transfer service provides for the payment of the Seller-Creator through the Platform.

After the payment is made, the Seller-Creator and the User receive at their indicated e-mail address an e-mail from eiDesign with the confirmation of the order containing the order number, the date of the order, the name of the Product and the quantity of the same, the price, the shipping costs, any further charges, the payment method (paypal), the data of the Creator Seller with the link direct to the personal page of the latter on the Platform, the data of the User, the delivery address, the billing address, the delivery time, the modalities for exercising the right of withdrawal of the consumer User towards the Seller-Creator and the possible exclusion of the withdrawal in case of non-consumer User and the possible guarantees.

8. SHIPPING

The Creator-Seller will directly provide for the shipment to the address chosen by the User-Purchaser and will send to the e-mail address indicated by the latter a communication specifying the details of the shipment.

In the case of purchase of a digital product, delivery is made by email to the address chosen by the User.

The Seller Creator is obliged towards the Service Provider to update its offers concerning the Products on sale and, in case of exhaustion of the Product sold, to return the price paid by the User unless the User expressly requests confirmation of the order at a later time, duly informed by the Seller Creator on the timing of supply of the Product so ordered.

9. REFERENCE TO SELLER'S TERMS AND CONDITIONS 

The sale concluded between the Creator Seller and the purchasing User is entirely regulated by the Terms and Conditions (Shipping & Returns or other possible additional guarantees) proposed by the Creator Seller itself and accepted in accordance with the provisions of art. 5 above by the purchasing User.

The Seller-Creator, therefore, is obliged to prepare and publish on the page of the Product offered, in the appropriate space "Description", valid Terms and Conditions (Shipping, Return or possible additional guarantees) of which the User, therefore, must take full note before concluding the contract.

It should be noted, for the particular relevance of their contents, that any provision relating to the right of withdrawal from contracts concluded with the Creator-Sellers through the Platform, to the conditions of return, to the guarantee of conformity of the Product is subject to the Terms and Conditions proposed by the Creator-Seller in relation to the sale of the case in question.

10. RIGHT OF WITHDRAWAL WITH RESPECT TO THE SERVICES OF EIDESIGN

With respect to the eiDesign Services, we confirm that if you use the Services as a consumer, in accordance with the Consumer Code, you may exercise your right of withdrawal within 14 days from the date of acceptance of the User Agreement.

To exercise your right of withdrawal, you must send a communication by mail or email in which you confirm in a clear and explicit way your intention to exercise this right to the following address: eiDesign/Nelly Dominguez de Juan, Piazza Vittoria 10 Pavia 27100.

You are not obliged to do this, but you can use the cancellation form below. If you wish to use this form, you can copy and paste its contents into a text document and fill in the empty fields.

To validly exercise your right of withdrawal, it will be sufficient to send the notice of withdrawal within the period of 14 days indicated above.

Effects of withdrawal

If you exercise your right of withdrawal, eiDesign shall be entitled to retain all amounts already charged and paid by you (e.g., eDesign fees) and to obtain payment of any additional amounts owed by you to eiDesign for your use of the Services that occurred prior to the effectiveness of your withdrawal. Furthermore, in case of withdrawal, eDesign will delete your account and any status associated with the account.

11. PAYMENTS

Every 30 (thirty) days, the Platform, through PAYPAL, will pay into the current account associated with the Seller's PAYPAL account, the sums of money constituting the proceeds of the sales made by the Seller, minus the 15% of the sums themselves, which will be retained by eiDesign somewhat as a lump sum to cover the costs of administrative management of the Paypal Service and in part as payment for the Intermediation Service carried out.

All payments are managed independently by Paypal, a third party service; eiDesign does not collect payment information, such as credit card numbers; it only receives a notification once the payment is successful.

12. COMPLAINTS

Qualsiasi reclamo relativo a una Transazione perfezionata per il tramite della Piattaforma deve essere presentato esclusivamente al Creator Venditore.

Come già anticipato, eiDesign non è Parte del contratto, è necessario contattare l’altra Parte per tutte le richieste di informazioni, reclami e rimborsi.

Si rammenta agli Utenti acquirenti, se consumatori, i diritti previsti nel loro esclusivo interesse dal Codice del Consumo (D.leg. n. 206 del 06 settembre 2005).

La Piattaforma resta comunque raggiungibile per qualsiasi eventualità all0indirizzo di posta elettronica info@ei-design.org

13. RIMBORSI

In caso di richiesta da parte dell’Utente acquirente di rimborso del costo di un Prodotto, il Creator Venditore entro 3 giorni dalla ricevuta della richiesta di rimborso da parte dell’Utente, dovrà comunicare per iscritto ad eiDesign la richiesta e la decisione che il rimborso sia disposto in favore dell’Utente acquirente, indicando l’importo del rimborso; eiDesign, entro i successivi 3 giorni rimborserà l’importo all’Utente.

Il Creatore Venditore potrà realizare la comunicazione a eiDesign traverso il suo pannello di controllo; pulsante Ordini, selezionando il numero di ordine e facendo click nella voce del menu “AZIONI” sull’icona “Richiesta di Rimborso”

14. MODIFICHE dei TERMINI e CONDIZIONI

Il Fornitore del servizio comunicherà su supporto durevole ai Creator interessati qualunque modifica proposta ai loro termini e delle loro condizioni.

Il Fornitore del servizio non potrà imporre modifiche retroattive dei termini e delle condizioni, tranne nel caso siano tenuti a rispettare un obbligo normativo o regolamentare o quando le modifiche retroattive sono vantaggiose per gli utenti commerciali.

Le modifiche proposte non verranno applicate prima della scadenza di un termine di preavviso ragionevole e proporzionato alla natura e alla portata di tali modifiche e alle loro conseguenze per il Creator interessato. Detto termine di preavviso sarà di almeno 15 giorni dalla data in cui il Creator informa gli utenti commerciali delle modifiche proposte. Il Fornitore del Servizio concederà periodi di preavviso più lunghi quando ciò sarà necessario per consentire al Creator Venditore di effettuare adeguamenti tecnici o commerciali per conformarsi alle modifiche.

Il Creator Venditore interessato avrà il diritto di risolvere il contratto con il Fornitore del Servizio prima della scadenza del termine di preavviso. Tale risoluzione ha effetto entro 15 giorni dal ricevimento della notifica delle modifiche proposte. La risoluzione non darà diritto alla ripetizione delle somme pagate dal Creator Venditore per l’iscrizione all’abbonamento prescelto.

In qualsiasi momento dopo il ricevimento del predetto preavviso il Creator Venditore interessato può rinunciare al termine di preavviso per mezzo di una dichiarazione scritta o di un azione chiara e affermativa.

Durante il periodo di preavviso, l’offerta di nuovi beni o servizi su servizi di intermediazione online è considerata una chiara azione positiva di rinuncia al termine di preavviso, tranne nei casi in cui il termine di preavviso ragionevole e proporzionato è superiore a 15 giorni perché le modifiche dei termini e delle condizioni impongono al Creator Venditore di apportare adeguamenti tecnici significativi ai propri beni o servizi. In tali casi, il fatto che il Creator Venditore presenti nuovi beni e servizi non è considerato una rinuncia automatica al termine di preavviso.

Il termine di preavviso sopra menzionato non si applica quando il Fornitore del Servizio:

1. a) sia tenuto ad adempiere a un obbligo normativo o regolamentare che gli impone di modificare i suoi termini e le sue condizioni in un modo che non consente di rispettare il periodo di preavviso.
2. b) debba modificare in via eccezionale i propri termini e condizioni per far fronte a un pericolo imprevisto e imminente connesso alla difesa dei servizi di intermediazione online, dei suoi consumatori o di altri utenti commerciali da frodi, malware, spam, violazioni dei dati o rischi per la sicurezza informatica.

Il Fornitore del Servizio si riserva il diritto di variare a propria discrezione, in qualunque momento, l’interfaccia grafica della Piattaforma, i suoi contenuti e la sua organizzazione, nonché ogni altro aspetto che caratterizza la funzionalità e la gestione della stessa, comunicando per iscritto agli Utente, ove occorrenti, le relative istruzioni.

15. LIMITAZIONE, SOSPENSIONE e CESSAZIONE dell’ACCOUNT del VENDITORE O CREATOR

Il Fornitore del Servizio può decidere di limitare o sospendere la fornitura a un determinato Creator Venditore in relazione a singoli beni comunicando per iscritto a quest’ultimo, preventivamente o al momento in cui la limitazione o la sospensione o la cessazion ha effetto, le motivazioni di tale decisione con comunicazione scritta.

Il Fornitore del Servizio può decidere di cessare completamente la fornitura a un determinato Creator Venditore comunicando a quest’ultimo, almeno 30 giorni prima che la cessazione prenda effetto, le motivazioni di tale decisione con comunicazione scritta.

In caso di limitazione, sospensione o cessazione, il Fornitore del Servizio fornisce al Creator Venditore l’opportunità di chiarire i fatti e le circostanze attraverso comunicazione scritta a cui seguirà eventualmente contraddittorio. Qualora, all’esito del confronto, la limitazione, la sospensione o la cessazione sia revocata dal Fornitore del Servizi, Venditore sarà immediatamente reintegrato senza indugio, compreso l’eventuale accesso ai dati personali o ad altri dati, o a entrambi, derivanti dall’uso dei pertinenti servizi di intermediazione online prima che la limitazione, la sospensione o la cessazione avesse effetto.

4. Il termine di preavviso sopra menzionato di 30 giorni non si applica quando il Fornitore del Servizi:
5. a) è tenuto ad adempiere a un obbligo normativo o regolamentare che gli impone di cessare la fornitura dell’insieme dei suoi servizi di intermediazione online a un determinato utente commerciale in un modo che non gli consente di rispettare il termine di preavviso; oppure
6. b) esercita un diritto di recesso fondato su motivi imperativi a norma del diritto nazionale in conformità con il diritto dell’Unione;
7. c) può dimostrare che il Venditore interessato ha ripetutamente violato i termini e le condizioni applicabili, con conseguente cessazione della fornitura dell’insieme dei servizi di intermediazione online in questione.

In tali casi in cui non si applica detto termine, il Fornitore del Servizi fornisce al Venditore interessato le motivazioni di tale decisione senza indebito ritardo usando un supporto durevole, salvo che sia soggetto all’obbligo normativo o regolamentare di non divulgare i fatti o le circostanze specifici oppure il riferimento alle pertinenti ragioni o se può dimostrare che il Venditore interessato ha ripetutamente violato i termini e le condizioni applicabili, determinando la cessazione della fornitura dell’insieme dei servizi di intermediazione online.

16. ACCESSO AI DATI

Il Fornitore del Servizio di intermediazione online può accedere ai dati personali e agli altri dati forniti dai Creatori e dei Creatori Venditori per l’uso dei servizi di intermediazione online o generati tramite la fornitura di tali servizi solo in conformità del Regolamento UE 2016/679 (GDPR) ed, in particolare, per l’esecuzione del contratto tra Fornitore del Servizio e Venditore e l’esecuzione di misure precontrattuali adottate su richiesta di quest’ultimo.

Il Venditore può accedere ai dati personali e agli altri dati (anche aggregati) dal medesimo forniti per l´uso dei servizi di intermediazione online o generati tramite la fornitura di tali servizi o forniti dai consumatori dei beni solo in conformità del Regolamento UE 2016/679 (GDPR) ed, in particolare, per l’esecuzione del contratto tra Fornitore del Servizio e Venditore e l’esecuzione di misure precontrattuali adottate su richiesta di quest’ultimo.

Il Fornitore del Servizio informa i Venditori che per il corretto funzionamento dei servizi di intermediazione online, i dati personali e gli altri dati forniti o generati sopra menzionati sono forniti a Sendinblue, responsabile esterno del Fornitore del Servizio/ Titolare del Trattamento.

Ogni informazione fornita o generata dal Fornitore Terzo in sede di accesso tecnico e contrattuale o in mancanza di questi ultimi sarà conservata dal Fornitore del servizio, dopo la scadenza del contratto, per il tempo non superiore al conseguimento delle finalità per le quali è trattata.

In materia di protezione di dati personali del Creatore e del Creatore Venditore si rinvia a quanto previsto dalla Privacy Policy, dalla Cookie Policy e dall’Informativa Privacy di eiDesign, pubblicate sul sito di eiDesign.

17. LEGGE APPLICABILE e FORO COMPETENTE
